Sedge & Soil LLC Website Terms of Use

Last updated: October 27, 2026

These Website Terms of Use (the "Terms") govern your access to and use of https://www.sedgeandsoil.com and its related pages, content and features (collectively, the "Site"). The Site is operated by Sedge & Soil LLC ("Sedge & Soil," "we," "us" or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1.      Scope of the Site

The Site provides general information about Sedge & Soil’s ecological consulting, native plant garden design, planting, landscape implementation, invasive-plant management and related services. The Site is not an e-commerce site, does not offer products or services for purchase through the Site and does not create a contract for services.

A project estimate, proposal, statement of work or other written agreement signed or otherwise accepted by Sedge & Soil and a customer governs the applicable services, products, price, payment terms, project requirements and other project-specific matters. If those materials conflict with these Terms, the project-specific materials control as to that project.

2.      Permitted Use

You may use the Site only for lawful, personal and noncommercial purposes. You may not:

1.      use the Site in a manner that violates applicable law or another person’s rights;

2.      interfere with the Site’s operation, security or accessibility;

3.      attempt to gain unauthorized access to the Site, its systems or data;

4.      copy, reproduce, modify, distribute, publicly display or create derivative works from Site content except as permitted by law or with Sedge & Soil’s prior written permission;

5.      use automated means to access, scrape or collect information from the Site without our prior written consent; or

6.      use the Site or Site content for commercial resale, marketing or competitive purposes without our prior written consent.

3. Information on the Site

We aim to keep Site content current, but may correct errors, change content or discontinue features at any time without notice. Service descriptions, availability, photographs, project examples, timing and price information are illustrative and may change.

Ecological conditions, site conditions, plant availability, weather, permits, property access, local regulations and project objectives vary. Site content is general information only and is not a project-specific recommendation, estimate, warranty or representation that a particular result can be achieved at a particular property.

The Site does not provide engineering, surveying, legal, architectural or landscape-architecture services. References to drainage, stormwater, restoration, site conditions or similar topics describe ecological or horticultural considerations only and are not code-compliant design or permitting representations.

4.      Inquiries and Communications

You may contact us through the contact information displayed on the Site. An inquiry does not obligate Sedge & Soil to provide services or reserve a project date. Please do not send confidential, highly sensitive or time-sensitive information through the Site or by an unsolicited email or text message.

If you submit information through the Site or contact us in connection with the Site, you represent that the information is accurate and that you have the right to provide it. You remain responsible for the content of your communications.

5.      Intellectual Property

The Site and its content, including text, photographs, graphics, logos, design, project images, field notes and other materials, are owned by Sedge & Soil or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer any ownership interest to you.

"Sedge & Soil" and associated logos, names and marks used on the Site are trademarks or trade dress of Sedge & Soil or its licensors. You may not use them without prior written permission.

6.      Third-Party Links and Services

The Site may include links to third-party websites, platforms, social-media pages or resources. These links are provided for convenience only. Sedge & Soil does not control, endorse or assume responsibility for third-party content, availability, privacy practices or transactions. Your use of a third-party service is governed by that service’s own terms and privacy policy.

7.      Privacy

Our collection and use of personal information are described in the Sedge & Soil Privacy Policy, available at [insert privacy policy URL]. The Privacy Policy is incorporated into these Terms by reference.

8.      Disclaimer of Warranties

To the fullest extent permitted by law, the Site and Site content are provided on an "as is" and "as available" basis. Sedge & Soil disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and noninfringement. We do not warrant that the Site will be uninterrupted, timely, secure or error-free or that defects will be corrected.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions in this section apply only to the extent permitted by law.

9.      Limitation of Liability

To the fullest extent permitted by law, Sedge & Soil and its members, managers, employees, contractors, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to your access to or use of the Site, even if advised of the possibility of those damages.

To the fullest extent permitted by law, Sedge & Soil’s total liability for claims arising from or related to the Site will not exceed $100. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10.   Indemnification

You will defend, indemnify and hold harmless Sedge & Soil and its members, managers, employees, contractors, licensors and service providers from claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or unlawful use of the Site.

11.   Suspension and Termination

We may suspend or end your access to the Site at any time if we reasonably believe you have violated these Terms, created risk for Sedge & Soil or another person or misused the Site. Termination does not affect provisions that by their nature should survive, including intellectual-property, disclaimer, limitation-of-liability, indemnification and governing-law provisions.

12.   Governing Law and Venue

These Terms are governed by the laws of the State of Vermont, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Vermont, and you consent to their jurisdiction and venue.

13.   Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a revised "Last updated" date. Your continued use of the Site after revised Terms are posted means you accept them.

14.   General

These Terms and the Privacy Policy are the entire agreement between you and Sedge & Soil concerning your use of the Site. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. Sedge & Soil may assign these Terms in connection with a merger, acquisition, reorganization or sale of assets.
